General Terms and Conditions

1) Scope

These Terms and Conditions apply to all orders placed by consumers and traders via our online shop.

A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession. A trader is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business or self-employed profession.

The following applies to traders: If the trader uses conflicting or supplementary general terms and conditions, their validity is hereby rejected; they only become part of the contract if we have expressly agreed to them.

2) Contracting parties, conclusion of the contract, correction options

2.1 Contracting parties

These Terms and Conditions apply to the entire business relationship between the Customer and Senol Celebi, Teutonenweg 10c, 22453 Hamburg, Germany (hereinafter referred to as the “Seller”). Further details about the Seller can be found in the Imprint.

2.2 Conclusion of the contract

2.2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller but serve to enable the Customer to submit a binding offer.

2.2.2 The Customer can submit the offer via the online order form integrated into the Seller’s online shop. After placing the selected goods in the virtual shopping cart and going through the electronic ordering process, the Customer submits a legally binding contractual offer for the goods in the shopping cart by clicking the button that concludes the ordering process. Before sending the order, the Customer can view and change the data at any time. However, the offer can only be submitted and transmitted if the Customer has accepted these contractual terms by ticking the checkbox confirming the Terms and Conditions, thereby including them in the offer. The Customer can also submit the offer to the Seller by telephone or e-mail.

The Seller then sends the Customer an automatic confirmation of receipt by e-mail, which lists the Customer’s order again and which the Customer can print out using the “Print” function. The automatic confirmation of receipt merely documents that the Customer’s order has been received by the Seller and does not constitute acceptance of the offer. The Seller may accept the Customer’s offer within five days by sending an order confirmation by e-mail, by delivering the ordered goods or by requesting payment after the order has been placed. The contract is concluded at the time at which the first of these occurs; in the case of an order confirmation or delivery, receipt by the Customer is decisive. The period begins on the day after the order is sent and ends at the end of the fifth day thereafter. If the Seller does not accept the offer within this period, the Customer is no longer bound by the order. For payment with PayPal, clause 2.2.3 applies instead. The text of the contract (consisting of the order, the Terms and Conditions and the order confirmation) is sent to the Customer by us on a durable medium (e-mail or paper printout) in the order confirmation or in a separate e-mail, but no later than upon delivery of the goods (contract confirmation). The text of the contract is stored in compliance with data protection regulations.

2.2.3 If a payment method offered by PayPal is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter: “PayPal”), subject to the PayPal User Agreement, available at https://www.paypal.com/de/legalhub/paypal/useragreement-full, or – if the Customer does not have a PayPal account – subject to the terms for payments without a PayPal account, available at https://www.paypal.com/de/legalhub/paypal/privacywax-full. If the Customer pays using a payment method offered by PayPal that can be selected in the online ordering process, the Seller hereby already declares acceptance of the Customer’s offer at the moment the Customer clicks the button that concludes the ordering process.

2.2.4 If the payment method direct debit via Stripe is selected, payment is processed via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (hereinafter: “Stripe”). In this case, Stripe collects the invoice amount from the Customer’s bank account on behalf of the Seller after a SEPA direct debit mandate has been issued, but not before the period for the pre-notification has expired. Pre-notification is any communication (e.g. invoice, policy, contract) to the Customer announcing a debit by SEPA direct debit. If the direct debit is not honoured due to insufficient funds or because incorrect bank details were provided, or if the Customer objects to the debit although not entitled to do so, the Customer shall bear the fees charged by the respective bank for the return debit if the Customer is responsible for this. The Seller reserves the right to carry out a credit check when the SEPA direct debit payment method is selected and to refuse this payment method if the credit check is negative.

2.2.5 If the payment method credit card via Stripe is selected, the invoice amount is due immediately upon conclusion of the contract. Payment is processed via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (hereinafter: “Stripe”). Stripe reserves the right to carry out a credit check and to refuse this payment method if the credit check is negative.

2.2.6 If the payment method “Pay with Link” is selected, payment is processed via a payment link generated by Stripe. The terms of use of Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland, apply.

2.2.7 If the payment method Klarna via Stripe is selected, payment is processed via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (hereinafter: “Stripe”), in cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden (hereinafter: “Klarna”). The Klarna payment options available (e.g. pay now, pay by invoice or instalments) are shown to the Customer during the ordering process. In the case of payment by invoice or instalments, the Customer pays the invoice amount to Klarna with debt-discharging effect. Klarna’s terms of use, to which the Customer is referred during the payment process, apply in addition. Klarna reserves the right to carry out a credit check and to refuse this payment method if the credit check is negative.

2.2.8 Order processing generally takes place by e-mail. The Customer shall ensure that the e-mail address provided is correct and that e-mails from the Seller can reach the Customer at this address; in particular, a spam filter must not intercept these e-mails.

3) Contract language, storage of the contract text

Several languages are available for concluding the contract; the languages available are shown in the online shop.

We store the text of the contract and send you the order data and our Terms and Conditions by e-mail. For security reasons, the full text of the contract is no longer accessible via the internet once the order has been completed. If you set up a customer account in our online shop before sending your order, the order data will be archived on our website and can be accessed by you free of charge at any time via your password-protected customer account using your login details.

4) Delivery and shipping conditions

4.1 Shipping costs are added to the stated product prices. Details of the shipping costs can be found in the offers.

4.2 Items are generally delivered by shipping. Collection by the Customer is only possible in exceptional cases by prior appointment.

4.3 We do not deliver to Packstation parcel lockers.

4.3.1 Deliveries to the German islands (including the East and North Frisian Islands, the Halligen, Heligoland, Neuwerk, Hiddensee and islands in inland lakes such as the Chiemsee) are made exclusively as a DHL small parcel at a shipping rate of €4.90; free shipping is not available to these locations.

4.4 If the Seller offers shipping of the goods, delivery is made within the delivery area specified by the Seller to the delivery address specified by the Customer, unless otherwise agreed. The delivery address specified in the Seller’s order processing is decisive for the processing of the transaction. Notwithstanding this, if the payment method PayPal is selected, the delivery address stored by the Customer with PayPal at the time of payment is decisive.

4.5 If delivery of the goods fails for reasons for which the Customer is responsible, the Customer shall bear the reasonable costs incurred by the Seller as a result. This does not apply to the costs of the outbound shipment if the Customer effectively exercises the right of withdrawal. If the Customer effectively exercises the right of withdrawal, the costs of return are governed by the provisions of the Seller’s withdrawal instructions.

4.6 If the Customer acts as a trader, the risk of accidental loss and accidental deterioration of the goods sold passes to the Customer as soon as the Seller has handed the goods over to the forwarding agent, the carrier or any other person or institution designated to carry out the shipment. If the Customer acts as a consumer, the risk of accidental loss and accidental deterioration of the goods sold generally only passes upon handover of the goods to the Customer or a person authorised to receive them.

4.7 All prices shown in our shop are fixed final prices, regardless of the country of delivery. For orders from third countries, we do not deduct German VAT from the purchase price, nor do we refund it afterwards. Deliveries to countries outside the European Union may incur additional costs not included in the price, in particular customs duties, import VAT and other import duties or taxes, customs clearance fees including disbursement and handling fees charged by the shipping service provider, as well as bank and currency exchange fees. These are borne by the Customer unless otherwise stated for the selected shipping method during the ordering process.

5) Payment

The following payment methods are generally available in our shop:

Direct bank transfer (payment in advance)
If you choose direct bank transfer, we will give you our bank details immediately after the order has been completed and deliver the goods after receipt of payment. The invoice amount must be transferred to our account within 7 days of the conclusion of the contract. If the amount is not received within this period, we are entitled to withdraw from the contract. Bank, transfer and currency exchange fees are borne by the Customer. The invoice amount must be credited to our account without deductions.

Cash payment on collection
You pay the invoice amount in cash on collection.

Stripe (including “Pay with Link” and Klarna)

PayPal

Further information is provided during the ordering process.

6) Right of withdrawal and voluntary right of return

6.1) Consumers are generally entitled to the statutory right of withdrawal of 14 days, as described in the separate withdrawal instructions.

6.2) In addition to the statutory right of withdrawal, we grant consumers a voluntary right of return of a total of 30 days from receipt of the goods.

6.3) The following additionally applies to the voluntary right of return (from the 15th day until the end of the 30 days): The voluntary right of return can only be exercised if the goods are returned unused, undamaged and in their original packaging. If the voluntary right of return is exercised, the buyer bears the cost of the return. The statutory right of withdrawal of 14 days remains unaffected by these provisions on the voluntary right of return. The conditions of the voluntary right of return do not restrict any statutory rights, in particular the right of withdrawal and the rights in respect of defects.

7) Retention of title

The goods remain our property until paid for in full.

The following additionally applies to traders: We retain title to the goods until all claims arising from an ongoing business relationship have been settled in full. You may resell the goods subject to retention of title in the ordinary course of business; you hereby assign to us in advance all claims arising from such resale in the amount of the invoice – irrespective of any combination or mixing of the goods subject to retention of title with a new item – and we accept this assignment. You remain authorised to collect the claims, but we may also collect claims ourselves if you do not meet your payment obligations. At your request, we will release the securities to which we are entitled insofar as the realisable value of the securities exceeds the value of the outstanding claims by more than 10%.

8) Transport damage

The following applies to consumers: If goods are delivered with obvious transport damage, please report such defects to the delivery agent as soon as possible and contact us without delay. Failure to report or contact us has no consequences whatsoever for your statutory claims and their enforcement, in particular your warranty rights. However, it helps us to assert our own claims against the carrier or the transport insurance.

9) Warranty and guarantees

9.1 Liability for defects

Unless expressly agreed otherwise, the statutory liability for defects applies.

The following limitations and shortened periods do not apply to claims based on damage caused by us, our legal representatives or vicarious agents

  • in the event of injury to life, body or health
  • in the event of an intentional or grossly negligent breach of duty or fraudulent intent
  • in the event of a breach of material contractual obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the contracting party may regularly rely (cardinal obligations)
  • within the scope of a guarantee, if agreed, or
  • insofar as the German Product Liability Act (Produkthaftungsgesetz) applies.

Limitations towards traders
Towards traders, only our own information and the manufacturer’s product descriptions that have been included in the contract shall be deemed to be an agreement on the quality of the goods; we accept no liability for public statements by the manufacturer or other advertising statements. For traders, the limitation period for claims for defects in newly manufactured items is one year from the passing of risk. Used goods are sold with the exclusion of any warranty.

The statutory limitation periods for the right of recourse pursuant to Section 445a of the German Civil Code (BGB) remain unaffected.

Provisions for merchants
Between merchants, the duty to inspect and give notice of defects pursuant to Section 377 of the German Commercial Code (HGB) applies. If you fail to give the notice provided for therein, the goods shall be deemed approved unless the defect was not recognisable during the inspection. This does not apply if we have fraudulently concealed a defect.

9.2 Guarantees and customer service

Information on any additional guarantees that may apply and their exact conditions can be found with the respective product and on special information pages in the online shop.

10) Liability

10.1 In accordance with the statutory provisions, the Seller is liable without limitation for damage resulting from injury to life, body or health based on an intentional or negligent breach of duty by the Seller, the Seller’s legal representatives or vicarious agents, and for other damage based on an intentional or grossly negligent breach of duty or fraudulent intent by the Seller, the Seller’s legal representatives or vicarious agents. In addition, the Seller is liable without limitation for damage covered by liability under mandatory statutory provisions, such as the German Product Liability Act.
The following limitations of liability apply only if the Customer acts as a consumer resident in Germany or as a trader. Towards other consumers, the Seller is liable in accordance with the statutory provisions.
10.2 For damage caused by simple negligence, the Seller is liable insofar as the negligence concerns the breach of contractual obligations whose fulfilment is of particular importance for achieving the purpose of the contract (cardinal obligations); however, liability is limited to the foreseeable, typical, direct average damage.
10.3 In the event of a simple or slightly negligent breach of non-essential contractual obligations, the Seller is liable towards consumers; however, liability is limited to the foreseeable, typical, direct average damage.
10.4 Any further liability is excluded regardless of the legal nature of the claim asserted; this also applies, among other things, to claims in tort. Insofar as liability is excluded or limited above, this also applies to the personal liability of employees, workers, staff and vicarious agents.
Otherwise, claims for damages are excluded.

11) Redemption of promotional vouchers

11.1 Vouchers that are issued free of charge by the Seller as part of promotional campaigns with a specific period of validity and that cannot be purchased by the Customer (hereinafter “promotional vouchers”) can only be redeemed in the Seller’s online shop and only within the specified period.

11.2 Individual products may be excluded from the voucher campaign if a corresponding restriction results from the content of the promotional voucher.

11.3 Promotional vouchers can only be redeemed before the ordering process is completed. Subsequent offsetting is not possible.

11.4 Only one promotional voucher can be redeemed per order.

11.5 The value of the goods must be at least equal to the amount of the promotional voucher. Any remaining credit will not be refunded by the Seller.

11.6 If the value of the promotional voucher is not sufficient to cover the order, one of the other payment methods offered by the Seller can be selected to pay the difference.

11.7 The credit of a promotional voucher is neither paid out in cash nor does it bear interest.

11.8 The promotional voucher will not be refunded if the Customer returns goods paid for in full or in part with the promotional voucher as part of the statutory right of withdrawal.

11.9 The promotional voucher is transferable. The Seller may make payment with discharging effect to the respective holder who redeems the promotional voucher in the Seller’s online shop. This does not apply if the Seller has knowledge or grossly negligent lack of knowledge of the respective holder’s lack of entitlement, legal incapacity or lack of power of representation.

12) Applicable law

12.1 The law of the Federal Republic of Germany applies to all legal relationships between the parties, excluding the laws on the international sale of movable goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the state in which the consumer has their habitual residence.

12.2 Furthermore, with regard to the statutory right of withdrawal, this choice of law does not apply to consumers who, at the time the contract is concluded, are not nationals of a member state of the European Union and whose sole place of residence and delivery address are located outside the European Union at that time.

13) Final provisions

If you are a trader, German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the Customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Hamburg.

14) Alternative dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
